The Walt Disney Co. (DIS-N26.52-0.32-1.19%) said Monday it is buying Marvel Entertainment Inc. (MVL-N48.9810.3326.73%) for $4-billion (U.S.) in cash and stock, bringing characters like Iron Man and Spider-Man into the family of Mickey Mouse and WALL-E.

Under the deal, Disney will acquire ownership of 5,000 Marvel characters. Many of them, including the Fantastic Four and the X-Men, were co-created by the comic book legend Stan Lee.

Analyst David Joyce of Miller Tabak & Co. said the acquisition will help Disney appeal to young men who have flocked to theatres to see Marvel's superhero fare in recent years. That contrasts with Disney's recent successes among young women with such fare as “Hannah Montana” and the Jonas Brothers.

“It helps Disney add exposure to a young male demographic it had sort of lost some balance with,” Mr. Joyce said, noting the $4-billion offer was at “full price.”

Disney said Marvel shareholders will receive $30 per share in cash, plus 0.745 Disney shares for every Marvel share they own. That values each Marvel share at $50 based on Friday's closing stock prices.

Marvel shares jumped $10.17, or 26 per cent, to $48.82 shortly after the market opened. Disney shares fell 47 cents, or 1.8 per cent, to $26.37.

Disney said the boards of both companies have approved the transaction, but it will require an antitrust review and the approval of Marvel shareholders.

Disney CEO Robert Iger said the acquisition combines Marvel's “strong global brand and world-renowned library of characters” with Disney's “unparalleled global portfolio of entertainment properties” and ability to maximize value across multiple platforms and territories.

Disney has a specific market quality that it makes all of its other franchises and children companies adhere to. Look at Mirimax. Their movies. Their TV shows. There are certain things a company cannot do because it is tied to Disney and would besmirch its family friendly brand image.

Marvel will not be free under Disney because Disney forces its companies to stay within a realm of family safety and being non-controversial.

This is not good for Marvel fans at all.

Well, I'd assume that Marvel just remains its own brand, perhaps getting only a 'Marvel is a part of Disney' somewhere at the back. They can't take away the adult nature of Marvel's franchise, that'd destroy it and remove a large portion of its value.

Disney is only going to get money from Marvel's sales. There may be some collaborations and shit between the companies, but Disney isn't going to get involved with the handling of the comics and films.

They're not going to cancel the extremely successful line of Max books, they're not going to stop selling the dozens of graphic novels they make shitloads of money off of either. Each one of those books has something in it that's questionable for kids.

It would make absolutely no sense at all, for them to fuck marvel up when it's majorly profitable. Marvel already pacifies that demographic with their cartoons, and that's probably what will be used to continue to do. The comics have fuck all to do with that demographic since the majority of comic book sales come from adults. They're probably going to do more of those too.

People will still eat what's shoveled into their mouths if its the franchise they like.
